Terms of Service for Simply Divide, a Service of UpStream Consulting, LLC

1.Acceptance of Terms
By using the services provided by Simply Divide, a service of UpStream Consulting, LLC (collectively referred to as “we”, “us”, or “our”), you (“user” or “you”) agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.
2.User Responsibilities
You are responsible for providing accurate and current information when using our services. Any misuse of the service based on inaccurate information provided by you will be your responsibility.
3.Content Ownership and Use
By submitting content (including details of personal belongings), you grant Simply Divide, and by extension UpStream Consulting, LLC, a license to use, modify, display, and distribute this content for the purpose of providing our services.
4.Service Modification and Discontinuation
Simply Divide and UpStream Consulting, LLC reserve the right to modify or discontinue their services at any time without prior notice. We will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the service.
5.Account Suspension and Termination
We may suspend or terminate your account if you are found to be in violation of these terms, late in payment, or engaged in illegal activities. Such actions are at our sole discretion.
6.Dispute Resolution
In the event of a dispute, Simply Divide, under the management of UpStream Consulting, LLC, will work towards a fair resolution. However, we reserve the right to make the final decision in any dispute involving our services.
7.Limitation of Liability
Simply Divide and UpStream Consulting, LLC are not liable for any indirect, incidental, special, consequential or punitive damages, including loss of profits, data, use, goodwill, or other intangible losses.
8.Intellectual Property Rights
All intellectual property rights in the services, including software, content, and trademarks, are owned by or licensed to UpStream Consulting, LLC.
9.Governing Law
These terms shall be governed by the laws of Polk County, State of Iowa, without regard to its conflict of law provisions.
10.Amendments to Terms
Simply Divide and UpStream Consulting, LLC reserve the right to amend these terms at any time. Changes will be posted on our website.
11.User Feedback
User feedback and suggestions can be sent to info@simplydivide.com. While all feedback is appreciated, Simply Divide and UpStream Consulting, LLC are under no obligation to act on such feedback or to provide compensation.
